These Terms of Service (the “Terms”) form a binding agreement between you (or the entity you represent, “you”, “Customer”) and AdsPing (“AdsPing”, “we”) governing your access to and use of the AdsPing service — a server-side conversion tracking platform that forwards website events to advertising platforms (the “Service”).
By creating an account, installing our tracking script, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Your account
You must be at least 18 years old and legally able to enter into a contract. You are responsible for the accuracy of the information you provide, for safeguarding your credentials, and for all activity that occurs under your account. Notify us at [email protected] if you believe your account has been compromised.
2. Your content and data
You retain ownership of all data you send through the Service, including event payloads originating from your websites (“Customer Data”). You grant us the limited licence necessary to process and forward that data in order to provide the Service.
You represent and warrant that you have all rights, consents, and legal bases needed to collect Customer Data from your end users and to instruct AdsPing to forward it to the advertising platforms you connect. You are the controller of Customer Data; we act as your processor, as described in our Data Processing Agreement.
3. Your obligations
- Comply with all laws that apply to your business and your end users, including privacy and electronic-communications laws.
- Display an appropriate privacy notice on your website informing end users of tracking, and obtain any required consent.
- Honour user opt-outs and data-subject requests.
- Use the Service only for your own lawful business and marketing activities.
- Not use the Service to track sensitive categories of data that are prohibited by the destination advertising platforms’ terms (for example, health, sexual orientation, or financial identifiers as defined by Meta or Google).
4. Acceptable use
You agree not to:
- Use the Service to transmit malware, spam, or phishing content.
- Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure.
- Reverse-engineer, resell, or sublicense the Service except as permitted by these Terms.
- Send events on behalf of a third party without proper legal authority.
- Probe, scan, or test the vulnerability of the Service, except through a programme we publish.
- Exceed the event volume of your plan through automated or artificial traffic, or use the Service to measure volume limits rather than real business events.
We may suspend or terminate accounts that violate this section without prior notice.
5. Plans, payment, and renewal
- Subscription fees, event allowances, and features are described on our pricing page at the time you subscribe.
- Fees are charged in advance on a monthly or annual basis and are non-refundable except as expressly stated in these Terms or required by law. Annual plans have a 14-day refund window from purchase.
- Plans renew automatically at the end of each term until cancelled. You can cancel from your account settings; cancellation takes effect at the end of the then-current billing period.
- If your usage exceeds your plan’s event allowance, additional events may be paused or billed at a rate disclosed in your account dashboard.
- We may change pricing for future renewals with at least 30 days’ advance notice.
6. Free trials and the free tier
Free trials and free tier accounts are provided as-is. We may change, limit, or discontinue free offerings at any time. Commercial commitments (including SLAs) do not apply to free accounts.
7. Third-party destinations
AdsPing forwards events to advertising platforms you choose to connect (e.g. Meta, TikTok, Google, Pinterest). Those platforms operate under their own terms and privacy policies, and they become the controller of the data we forward on your behalf. We are not responsible for their processing, availability, pricing, or changes to their APIs. If a platform changes or deprecates its API, we will make reasonable efforts to adapt but cannot guarantee continuous compatibility.
8. Service level, availability, and support
We design the Service for high availability but do not guarantee uninterrupted operation unless an SLA is separately agreed in writing for paid tiers. We publish status and incident history at status.adsping.io. Standard support is available by email; response times depend on your plan.
9. Intellectual property
We and our licensors retain all rights in the Service, including our software, logos, trademarks, and documentation. Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service in accordance with these Terms.
You may voluntarily submit feedback or suggestions about the Service; if you do, you grant us a perpetual, worldwide, royalty-free licence to use that feedback without obligation to you.
10. Confidentiality
Each party will protect the other’s non-public information disclosed under these Terms with at least the same degree of care it uses for its own confidential information, and in any event with reasonable care. Confidential information excludes information that is or becomes public through no fault of the receiving party, was already in the receiving party’s possession, or is independently developed.
11. Warranty disclaimer
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of the data we forward. No advice obtained from us creates any warranty.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenues, or data. Each party’s total aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to AdsPing in the 12 months before the event giving rise to the liability.
These limitations do not apply to liability that cannot be excluded by law, to breaches of Sections 3 (Your obligations), 4 (Acceptable use), or 9 (Intellectual property), or to either party’s indemnification obligations.
13. Indemnity
You agree to defend and indemnify AdsPing against any third-party claim arising from (a) your breach of these Terms, (b) your unlawful use of the Service, or (c) Customer Data that infringes or violates third-party rights.
We will defend and indemnify you against any third-party claim that the Service itself infringes a third party’s intellectual property rights, subject to the limitations in Section 12.
14. Termination
You may terminate your account at any time from your account settings. We may suspend or terminate the Service if you materially breach these Terms, if your account is inactive for more than 12 months, or if we need to comply with law.
On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 9, 10, 11, 12, 13, and 15) will survive.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, except where mandatory consumer law in your jurisdiction requires otherwise. Any dispute will be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, unless local law requires another venue.
For customers resident in the European Economic Area, United Kingdom, or Türkiye, mandatory consumer protections in your jurisdiction apply and are not waived by these Terms.
16. Changes to the Terms
We may update these Terms from time to time. Material changes are notified to customers by email and posted here at least 14 days before taking effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
17. General
- These Terms are the entire agreement between you and AdsPing on the subject, superseding any prior agreements.
- If a provision is found unenforceable, the remainder of these Terms remains in effect.
- Our failure to enforce a right is not a waiver of that right.
- You may not assign these Terms without our written consent; we may assign them to a successor-in-interest in connection with a merger or acquisition.
- Neither party is responsible for a failure to perform caused by circumstances beyond its reasonable control.
